Data Licence Terms (Business)

These Data Licence Terms (the “Licence Terms”) govern the supply and licensing of datasets by LootBeezShop (“LootBeez”) to the business customer named in an Order (the “Customer”). They apply together with the Order. In case of conflict, the signed Order prevails, then these Licence Terms, then the general Terms of Service.

Definitions

• “Order” means a written order, quotation, statement of work or agreement accepted by both parties, specifying the Dataset, specification, quantity, price, milestones and delivery schedule.
• “Dataset” means the audio files, transcripts, prompts and metadata delivered under an Order, and any part of them.
• “Specification” means the technical and content requirements agreed in the Order, or, if none are stated, the default specification published on our Business page.
• “Contributor” means an individual whose voice or work is contained in the Dataset.
• “Permitted Purpose” means developing, training, fine-tuning, testing, evaluating, benchmarking and improving speech recognition, speech synthesis, speech translation, language identification, natural-language understanding and other machine-learning or AI systems, and related research, and commercially exploiting the resulting models and products.

Orders

Each Order becomes binding when accepted in writing (including by email) by both parties and, where stated, on receipt of the advance payment. A pilot may be agreed before the main collection. Changes to scope, volume or timeline require a written change order and may change the price.

Licence grant

1. Subject to payment of the fees, LootBeez grants the Customer a worldwide, perpetual, irrevocable, non-exclusive licence to use, reproduce and modify the Dataset for the Permitted Purpose, and to own and commercially exploit models, weights and products derived from such use.
2. The Customer may allow its employees, affiliates and contractors to use the Dataset for the Customer’s Permitted Purpose, provided they are bound by obligations at least as protective as these Licence Terms. The Customer is responsible for their compliance.
3. Exclusivity, if any, applies only if expressly stated in the Order and for the period and scope stated there.
4. Title in the Dataset remains with LootBeez. Ownership of models trained using the Dataset belongs to the Customer.

Restrictions

The Customer shall not, and shall not permit anyone to:

• attempt to re-identify any Contributor, or link any part of the Dataset with other data in order to identify a Contributor;
• create a synthetic voice designed to imitate a specific identifiable Contributor, or use the Dataset to impersonate any individual;
• use the Dataset for biometric identification or verification of individuals, surveillance, profiling of individuals, law-enforcement identification, or any decision affecting a Contributor;
• sell, sublicense, publish or distribute the raw Dataset, or any substantial portion of it, as a dataset to third parties, unless the Order expressly permits it;
• use the Dataset in violation of any applicable law, including data-protection and export-control laws; or
• remove or alter any licence or attribution notices included in the delivery.

Data protection

• The Dataset contains Contributors’ voices with pseudonymous metadata only. Each party will comply with the Digital Personal Data Protection Act, 2023 and other applicable data-protection laws in relation to the Dataset.
• The Customer will implement reasonable technical and organisational security measures to protect the Dataset from unauthorised access, loss or disclosure, and will notify LootBeez without undue delay of any security incident affecting it.
• If the Customer receives a request or complaint concerning a Contributor, it will forward it promptly to LootBeez.
• LootBeez warrants that each Contributor in the Dataset gave recorded consent to the Permitted Purpose and assigned the relevant rights, and that consent records are retained. A summary consent report can be provided with each delivery.

Delivery and acceptance

1. LootBeez will deliver the Dataset in the milestones set out in the Order, by secure download link or another agreed method, together with metadata files and a delivery report.
2. The Customer has ten (10) business days from delivery of each milestone to notify any non-conformity with the Specification, with reasonable detail. If no notice is given within that period, the milestone is deemed accepted.
3. Delivery dates are estimates made in good faith. LootBeez will promptly inform the Customer of any expected delay.

Quality warranty and remedy

LootBeez warrants that each delivered item will materially conform to the Specification at delivery. If an item does not conform and the Customer notifies LootBeez within thirty (30) days of delivery, LootBeez will, at its option, replace the item with a conforming item or credit the price of the non-conforming item. This is the Customer’s sole remedy for non-conformity. See also our Refund & Cancellation Policy.

Fees and payment

• Fees are as stated in the Order, usually per hour of approved audio or per item, exclusive of GST and other applicable taxes, which will be charged additionally.
• Unless the Order states otherwise, an advance of 30% is payable on acceptance of the Order, and the balance of each milestone is payable within fifteen (15) days of the invoice.
• Late payments may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower. LootBeez may suspend deliveries while undisputed invoices are overdue.
• Payments are made by bank transfer to the account stated on the invoice. Bank charges are borne by the Customer.

Confidentiality

Each party will keep confidential all non-public information received from the other party, including pricing, prompts, specifications and the Dataset, use it only for the purposes of the Order, and disclose it only to persons who need to know and are bound by confidentiality. These obligations survive for five (5) years after the last delivery, and indefinitely for the Dataset and personal data.

Customer materials

If the Customer provides prompts, scripts, images or other materials, the Customer warrants that it has the right to provide them and that they are lawful, and grants LootBeez a licence to use them solely to perform the Order. Such materials remain the property of the Customer.

Warranties and disclaimer

Each party warrants that it has authority to enter into the Order. Except as expressly stated in these Licence Terms, the Dataset is provided without any other warranty, including fitness for a particular purpose or that any model trained on it will achieve a particular performance.

Liability

1. Neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or goodwill.
2. Each party’s total liability under an Order is limited to the fees paid and payable under that Order in the twelve (12) months before the claim.
3. These limits do not apply to breach of the Restrictions or Confidentiality sections, a party’s indemnity obligations, fraud, or liability that cannot be limited by law.

Indemnities

LootBeez will indemnify the Customer against third-party claims that the Dataset, used as permitted, infringes a third party’s intellectual property right or was collected without valid consent. The Customer will indemnify LootBeez against claims arising from the Customer’s breach of the Restrictions or Data protection sections or from Customer materials. The indemnified party must notify the indemnifying party promptly and allow it to control the defence.

Term and termination

• Either party may terminate an Order for material breach not cured within thirty (30) days of written notice.
• Cancellation by the Customer for convenience is governed by the Refund & Cancellation Policy.
• On termination, the Customer pays for all work delivered and work in progress, and the licence continues for Dataset portions that have been paid for, unless termination is for the Customer’s breach of the Restrictions section.

Governing law and disputes

These Licence Terms are governed by the laws of India. Disputes will first be discussed in good faith between senior representatives for thirty (30) days, then referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in [CITY], [STATE], conducted in English. Courts at [CITY] have jurisdiction for interim relief.

General

Neither party may assign an Order without the other’s consent, except to a successor of its business. Notices must be in writing to the addresses in the Order (or business@lootbeez.shop for LootBeez). These Licence Terms and the Order are the entire agreement between the parties on their subject matter.
